Contract Risk Mitigation Manager – Prism Electric, Inc.

The Contract Risk Mitigation Manager will identify, assess, and develop strategies to minimize potential risks associated with contractual agreements by reviewing contract terms, negotiating contract clauses, and monitoring compliance to mitigate financial and legal liabilities throughout the contract lifecycle. This individual will prepare, review, update, negotiate, and administer contracts, and will be responsible for finalizing all agreements while providing contract agreement support services including reviews and preparations.
Responsibilities:
Contract Analysis & Risk Mitigation:
- Identify, evaluate, and develop strategies to minimize potential risks associated with contractual agreements by reviewing contract terms, negotiating contract clauses, and monitoring compliance throughout the contract lifecycle.
- Examine contracts to identify potential risks related to legal obligations, compliance issues, quality standards, payment terms, and delivery schedules.
- Conduct comprehensive risk assessments for each contract, prioritize legal liabilities and operational challenges, and collaborate with the operations and management teams to negotiate terms that effectively mitigate risks.
Contract Preparation & Administration:
- Prepare, review, update, negotiate, and administer all contracts—including MSA agreements, vendor agreements, and other contractual documents—to ensure that modifications are properly prepared and implemented.
- Maintain current subcontract language and manage updates as required.
- Maintain a database with all executed contract agreements.
Compliance & Monitoring:
- Oversee subcontractor and supplier compliance for key areas such as financial, quality, safety, and experience.
- Conduct contract compliance monitoring and manage all compliance and risk management documents within our compliance systems.
Customer Construction & Subcontract Management:
- Manage the customer construction contract process by coordinating internal reviews, maintaining “ball in court” status, and ensuring that company standards related to contract language are reviewed and incorporated.
- Manage external counsel reviews as required, ensuring risk management standards are followed and consistency is maintained.
- Manage subcontractor master agreements and oversee the onboarding process for new subcontractors.
- Organize and manage subcontracts with all subcontractors and purchase orders with all vendors.
Strategic Planning & Communication:
- Participate in the strategic planning process with management to establish organizational plans and goals that effectively mitigate risks, reduce legal obligations, and ensure contract agreements are consistent with Prism policy.
- Maintain a professional and positive work environment by facilitating effective communication with operations and management teams.
Analysis and Research:
- Review vendor proposals to ensure that all Prism standard requirements are included in the agreements.
- Conduct qualification analysis of all vendors and subcontractors.
- Research and analyze statutes, regulations, legal articles, and other legal sources to support contractual decisions.
Additional Duties:
- Prepare and assist with legal correspondence and documentation related to contract agreements and support legal research.
- Perform other work-related duties as assigned.
